1. Acceptance of Terms

By accessing or using the NovaVoxx AI platform, website, or any related services (collectively, the "Services") provided by NovaVoxx AI, Inc. ("NovaVoxx", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users and paying subscribers.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not accept these Terms, you must not use our Services.

We may update these Terms from time to time. Continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

2. Description of Service

NovaVoxx provides an AI-powered voice platform that enables users to create and deploy outbound calling campaigns, configure inbound AI receptionists, manage contact lists, and review call activity through a web dashboard.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to users. NovaVoxx will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. Account Registration

To use the Services, you must register for an account using a valid email address and create a strong password. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your password confidential and not share account access with unauthorized parties
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

You must be at least 18 years old to create an account. Accounts registered on behalf of minors are not permitted.

4. Acceptable Use Policy

You may use the Services only for lawful business purposes. You agree not to:

• Use the Services to harass, threaten, or defraud individuals
• Make calls to numbers on national or state Do Not Call registries without proper consent
• Impersonate any person, company, or entity in a deceptive manner
• Use the Services for spam, phishing, or other unsolicited communications
• Attempt to reverse engineer, decompile, or extract source code from the platform
• Interfere with or disrupt the integrity or performance of the Services
• Use automated tools to scrape, crawl, or data-mine the platform
• Resell or sublicense access to the Services without written permission from NovaVoxx

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

5. Call Compliance

You are solely responsible for ensuring that your use of the Services complies with all applicable laws and regulations governing telephone communications, including but not limited to:

• TCPA (US): The Telephone Consumer Protection Act. You are responsible for obtaining any necessary prior express written consent before making autodialed or artificial voice calls.
• GDPR (EU): If calling contacts in the European Union, you must have a lawful basis for processing personal data and contacting individuals.
• CASL (Canada): Canada's Anti-Spam Legislation requires appropriate consent for commercial electronic messages.
• All other applicable local, state, federal, and international telecommunications regulations in the jurisdictions where you operate.

NovaVoxx is a technology platform and does not provide legal advice. We strongly recommend consulting qualified legal counsel before launching any calling campaign. NovaVoxx will not be liable for your failure to comply with applicable calling regulations.

6. Billing and Payment

Paid plans are billed on a monthly or annual basis as selected at the time of subscription. All fees are stated in US Dollars and are non-refundable except as required by law or as expressly stated in our refund policy.

You authorize NovaVoxx to charge your payment method on the billing date for the applicable subscription fee. If payment fails, we will attempt to retry the charge and may suspend your account until payment is received. You are responsible for keeping your payment information current.

We reserve the right to change our pricing with at least 30 days' advance notice. Price changes will take effect at the start of your next billing cycle after the notice period.

7. Intellectual Property

NovaVoxx and its licensors own all intellectual property rights in the Services, including the platform software, design, algorithms, and documentation. These Terms do not grant you any ownership rights in the Services.

You retain ownership of the content you input into the platform, including campaign scripts, contact data, and call recordings. By using the Services, you grant NovaVoxx a limited license to process and store this content solely as necessary to provide the Services to you.

8. Limitation of Liability

To the maximum extent permitted by applicable law, NovaVoxx and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Services.

In no event shall NovaVoxx's total aggregate liability exceed the greater of (a) the amount you paid to NovaVoxx in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Indemnification

You agree to indemnify, defend, and hold harmless NovaVoxx and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services in violation of applicable laws or regulations
• Content you submit, transmit, or make available through the Services
• Your violation of any third party's rights, including privacy rights

10. Termination

You may cancel your account at any time by contacting us or through the account settings page. Cancellation takes effect at the end of your current billing period. No refunds will be issued for the remaining portion of a billing period.

NovaVoxx may suspend or terminate your account immediately if: (a) you breach any provision of these Terms; (b) we are required to do so by law; (c) your use of the Services poses a risk to other users or to the integrity of the platform; or (d) you engage in abusive or inappropriate conduct toward NovaVoxx staff.

Upon termination, your right to use the Services ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Frederick County, Maryland.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. These Terms constitute the entire agreement between you and NovaVoxx with respect to the Services and supersede all prior agreements and understandings.
